These Terms & Conditions constitute a legal agreement between you and Bradán Accountants. By engaging our services, you agree to be bound by these Terms and all applicable laws and regulations.
1. Introduction and Acceptance
These Terms & Conditions ("Terms") govern the provision of services by Bradán Accountants ("we", "our", or "us") to you. By engaging our services, using our website, or accepting our engagement letter, you agree to be bound by these Terms.
If you do not agree to these Terms, you should not engage our services or use our website.
2. Our Services
Bradán Accountants provides professional accounting, tax, payroll, company secretarial, bookkeeping, cloud accounting, and related advisory services, including:
- •Accounting services (monthly accounting, management accounts, year-end accounts)
- •Tax services (income tax, corporation tax, VAT)
- •Payroll processing and PAYE returns
- •Company secretarial services (company formation, annual returns, statutory registers)
- •Bookkeeping services and bank reconciliations
- •Cloud accounting setup and migration (for example, Xero and Hubdoc)
- •Advisory and sector-specific services
3. Engagement and Service Agreement
Before commencing work, we will issue an engagement letter or service agreement outlining:
- •The specific services to be provided
- •The scope of work and deliverables
- •Fees and payment terms
- •Timelines and deadlines
- •Your responsibilities and information requirements
- •Any limitations or exclusions of our services
Your acceptance of our engagement letter constitutes your agreement to these Terms.
4. Client Responsibilities
To enable us to provide effective services, you agree to:
Information Provision
- •Provide all necessary financial data and documents in a timely manner
- •Ensure all information provided is accurate, complete, and current
- •Notify us immediately of any changes in your circumstances
Timely Response
- •Respond promptly to our requests for information
- •Meet agreed deadlines for providing documents
- •Communicate any delays that may affect service completion
Accuracy and Review
- •Review all work performed and advise us of any discrepancies
- •Confirm the accuracy of recorded information
- •Maintain appropriate internal controls over your financial records
Payment Obligations
- •Pay our fees as agreed in accordance with invoice terms
- •Notify us promptly of any dispute regarding an invoice
5. Fees, Billing and Payment
Our fees are based on the time, complexity, and scope of the services required.
Invoicing and Payment
- •Fees will be invoiced as agreed (monthly, quarterly, or annually)
- •Invoices are due within 30 days unless otherwise agreed
- •Late payment may result in suspension of services
Out-of-Pocket Expenses
- •You will reimburse reasonable out-of-pocket expenses
- •This includes software subscriptions, filing fees, and courier costs
- •Expenses will be itemised on our invoices
Fee Reviews
- •Fees are subject to periodic review
- •Fee adjustments will be communicated with reasonable notice
- •Significant scope changes may result in revised fees
6. Confidentiality and Data Protection
We maintain strict confidentiality of all client information.
Our Obligations
- •All client information is treated as strictly confidential
- •Information is shared with team members only on a need-to-know basis
- •Information is not disclosed to third parties except as required by law
Legal and Regulatory Disclosures
- •We may disclose information to the Revenue Commissioners or other tax authorities

7. Scope of Services and Limitations

- •We may use cloud-based software (such as Xero) to provide services
- •You are responsible for maintaining secure passwords and access
- •We are not responsible for third-party service outages or data loss
8. Tax and Regulatory Compliance
You have specific responsibilities regarding the accuracy and timeliness of your tax filings:
Accuracy and Completeness
- •We prepare tax returns based on the information you provide
- •You are ultimately responsible for their accuracy and completeness
- •You should review all work before submission
Filing Deadlines
- •You are responsible for ensuring timely filing of returns
- •We will remind you of important deadlines where engaged to do so
- •We are not responsible for penalties arising from late submission
9. Limitations of Liability
To the fullest extent permitted by law, our liability is limited as follows:
Liability Cap
- •Our total liability is limited to the fees paid in the 12 months preceding the claim
- •Liability is limited to the fees paid for the specific engagement in question
Excluded Damages
- •We are not liable for indirect, incidental, or consequential damages
- •This includes lost profits, lost revenue, or business interruption
Exceptions
- •These limitations do not apply to liability that cannot be excluded by law
- •Nothing in these Terms excludes liability for death or personal injury caused by negligence
10. Disclaimer of Warranties
Services are provided on an "as-is" basis, and we make no warranties other than those expressly set out in our engagement letter.
- •We do not warrant that our advice will result in any specific tax or financial outcome
- •We do not warrant that our work is free from omissions or errors beyond the applicable professional standard
- •We disclaim all implied warranties to the extent permitted by law
11. Indemnification
You agree to indemnify and hold Bradán Accountants harmless from claims arising from:
- •Your breach of these Terms or our engagement agreement
- •Inaccurate or incomplete information provided by you
- •Your failure to follow our advice or recommendations
12. Termination
Either party may terminate the engagement by providing reasonable written notice, subject to:

- •Existence of a conflict of interest
- •Engagement in unlawful or unethical conduct
Upon Termination
- •You must pay all outstanding fees and expenses
- •We will transfer your files upon settlement of amounts due
- •We may retain copies of records for compliance purposes
- •Confidentiality obligations continue after termination
13. Intellectual Property
Work product and client information have specific ownership rights:

- •All work product, advice, and tools developed by us remain our intellectual property
- •You have a limited licence to use our work for your own business purposes
- •You may not reproduce or distribute our work to third parties without permission
Your Information
- •You retain ownership of all data and information provided to us
- •We may use anonymised, aggregated data for statistical and service-improvement purposes
14. Professional Standards and Compliance
Our services are provided in accordance with applicable professional standards and laws, including:
- •Institute of Chartered Accountants in Ireland (ICAI) codes and guidance
- •Irish company law and regulations
- •Irish and EU tax law and regulations
- •Data protection legislation (GDPR and the Data Protection Act 2018)
15. Dispute Resolution and Governing Law
These Terms are governed by Irish law.

- •Any dispute is subject to the exclusive jurisdiction of the Irish courts
Resolution Process
- •The parties will first attempt to resolve disputes through good-faith negotiation
- •Either party may request mediation before pursuing litigation
16. Changes to These Terms
We may update these Terms from time to time.
Changes will be posted on our website with a revised effective date. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.
17. Severability
If any provision of these Terms is found to be invalid or unenforceable:

18. Entire Agreement
These Terms, together with our engagement letter, constitute the entire agreement between you and Bradán Accountants regarding your engagement.

- •No waiver is effective unless in writing and signed by us

Effective Date: September 2026. By using our services after this date, you acknowledge that you have read, understood, and agree to be bound by these Terms. These Terms apply to all clients of Bradán Accountants and supersede any prior agreements.
